Terms and Conditions
By accessing and/or using any of the Prosper Foundation websites, including prospervancouver.org, prospervancouver.com, strivecompetition.org, ascendcompetition.org, prosperfoundation.ca, or any other site or mobile application operated by Prosper Foundation and its affiliates (“Prosper”), collectively known as the “Websites” and “Applications,” you agree to these Terms and Conditions (the "Terms") and acknowledge the way we collect, use, and disclose your personal information as described in Prosper Foundation's Privacy Policy (the “Privacy Policy”). These Terms may be revised or updated at any time. The most current and complete version of the Terms is always available at prosperfoundation.ca/legal. Additional terms and conditions may be specified on certain Web pages of the Prosper Websites or within the Applications, all of which are incorporated into these Terms by reference.​

If there are inconsistencies between these Terms and any offline materials, these Terms will prevail. By accessing, entering, or using the Websites, Applications, and the services provided on them (collectively, the “Services”), you signify your acceptance of the current version of these Terms and agree to be bound by them. Acceptance of these Terms establishes a binding contract (“Agreement”) between you and Prosper, ensuring that you will use the Websites, Applications, and Services in accordance with these Terms. If you do not agree with any of these Terms, please do not access or use the Websites, Applications, or Services.
1. Your Use of the Websites and Services
Prosper grants you a limited, non-transferable license to use the Websites and Applications in accordance with these Terms. Your use of the Websites and Applications is restricted to viewing the information provided and making legitimate inquiries. Any other use, including but not limited to making false or fraudulent inquiries, is prohibited. The Websites, Applications, and their content, which includes text, graphics, button icons, audio and video clips, digital downloads, data compilations, and software (collectively referred to as “Content”), may not be copied, reproduced, republished, framed, mirrored, uploaded, posted, transmitted, modified, translated, used to create derivative works, sold, transferred, sublicensed, distributed, disassembled, decompiled, or reverse engineered without prior written consent from Prosper or its third-party partners. However, you may download, display, and print the materials on the Websites and Applications for personal, non-commercial use only.
2. Intellectual Property Rights
Except for any Content submitted by users, the content on the Prosper Websites and Applications, including, without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features, and similar materials, the trademarks, service marks, and logos contained therein ("Marks"), and any other proprietary rights related to or appearing on the Websites or Applications, are owned by or licensed to Prosper Foundation, subject to trademark, copyright, and other intellectual property rights under Canadian and international laws and conventions. Content on the Websites and Applications is provided to you as is for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes without the prior written consent of the respective owners.

Prosper Foundation reserves all rights not expressly granted in and to the Websites, Applications, and the Content. You agree not to engage in the use, copying, or distribution of any of the Content other than as expressly permitted herein, including any use, copying, or distribution of content submitted by third parties obtained through the Websites or Applications for any commercial purposes. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable, or otherwise interfere with security-related features of the Prosper Websites or Applications, or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Prosper Foundation Websites, Applications, or the Content therein. You agree to be liable for any damages resulting from any infringement of copyright, trademark, or other proprietary rights, or any other harm resulting from your use of the Websites or Applications.
3. Conference Terms and Conditions
Each conference organized by Prosper Foundation operates under its own additional specific terms and conditions. By participating in or attending any Prosper Foundation conference, you agree to comply with the respective terms and conditions applicable to that event. These event-specific terms and conditions are in addition to the general Terms and Conditions governing the use of the Prosper Foundation Websites and Services. In the event of any conflict between the general Terms and Conditions and the terms specific to a conference, the conference-specific terms and conditions will take precedence. It is your responsibility to review and understand the terms and conditions applicable to each conference you attend.
4. Third Party Links and Content
The Websites and Applications contain links to third-party websites that are provided solely for your convenience and do not constitute an endorsement by Prosper Foundation of the contents, services, or operation of such websites. Prosper Foundation shall not be responsible for the content or services offered by any third-party websites or providers and makes no representation or warranty regarding any third-party websites, the services provided, or the content or materials on such websites. If you decide to access third-party websites, you do so at your own risk. You agree not to hold Prosper Foundation responsible for the content or operation of such websites.
5. Limitation of Liability
Prosper Foundation assumes no responsibility and shall not be liable for any damages to, or viruses that may infect, your computer equipment, mobile device, or other property resulting from your access to, use of, or browsing the Websites or Applications, or from downloading any materials, data, text, images, video, or audio from them. Prosper Foundation will not be liable for any injury, loss, claim, or damage, including any special, exemplary, punitive, indirect, incidental, or consequential damages (such as lost profits or lost savings), whether based on contract, tort, strict liability, or otherwise, arising from or related to (i) your use of the Websites, Applications, or the content therein, (ii) any failure or delay in accessing the Websites, Applications, or using any part of them, or (iii) any other issues related to the Websites, Applications, and/or Services.

If, despite the above, Prosper Foundation or any third-party provider or distributor is found liable for any loss or damage related to the use of the Websites, Applications, the Content, and/or the Services, the total liability of Prosper Foundation and such third parties shall not exceed, in aggregate, the greater of (a) the subscription fee or service charge, if any, for accessing the Websites, Applications, or Services, or (b) CAD$100.00. Prosper Foundation reserves the right, at its sole discretion and without prior notice, to terminate or limit your access to any part of the Websites, Applications, or Services, with no liability. Note that some jurisdictions may not allow certain liability limitations, so these restrictions may not apply to you.
6. Indemnity
You agree to indemnify, defend, and hold harmless Prosper Foundation, its affiliates, officers, directors, employees, consultants, and agents from any and all third-party claims, liabilities, damages, losses, debts, expenses, and costs (including, but not limited to, legal fees) resulting from: (i) your use of or access to the Websites, Applications, or Prosper Foundation Services; (ii) your breach of these Terms; (iii) your violation of any third-party rights, including but not limited to trademark, copyright, property, proprietary, privacy, or other rights, or any infringement by others using your account; and (iv) any Content you provide, including but not limited to, Content that infringes on any intellectual property rights, defames individuals, violates rights of publicity or privacy, or otherwise breaches these Terms. These Terms will apply to and benefit successors, assigns, and licensees. This indemnification obligation will survive both the termination of these Terms and your use of the Websites, Applications, and/or Services.
7. General Release of Liability
The Prosper Foundation and conference specific Terms and Conditions include and incorporate by reference our General Release of Liability Agreement ("Waiver"). We will ask you to sign this Waiver separately when you register for or participate in a Prosper Foundation Event. You and your parent/legal guardian must carefully read the Waiver in its entirety. Completing the Waiver with the explicit permission from your parent/legal guardian is a mandatory condition for participation in all Prosper Foundation events.
8. Severability
This Agreement shall be considered severable. If any provision is found to be unenforceable or invalid, that provision will still be enforced to the maximum extent allowed by applicable law, and such a finding will not impact the validity or enforceability of the remaining provisions.
9. Entire Agreement
This Agreement, together with any terms and conditions, legal notices and/or policies incorporated herein or referred to herein, constitute the entire agreement between us relating to the subject matter hereof, and supersedes any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on the Websites.
Privacy Policy
Prosper Foundation ("we," "our," or "us") is committed to protecting the privacy and security of our users' personal information. This Privacy Policy outlines how we collect, use, disclose, and protect your personal information in accordance with the Personal Information Protection Act (PIPA) of British Columbia and other applicable laws.

We will clearly explain the reasons and methods for collecting, using, and disclosing your personal information, obtain your consent when necessary, and manage your personal information in a way that is considered reasonable and appropriate under the circumstances.

The Prosper Privacy Policy applies to Prosper Foundation and all Prosper Foundation organized events, including but not limited to, Prosper Vancouver Youth Business Conference, Strive Competition, Ascend Competition, and Prosper Academy.

Terms and Conditions
For the Prosper Ivey Invitational Competition
1. General Terms and Conditions
It may be necessary for reasons beyond Prosper Foundation (Vancouver)'s ("Prosper") control to change the content and timing of the programme, the speakers, the date or the venue at any time prior to the event date.
External speakers are responsible for the content of their respective sessions, including keynote, workshop, or any other conference touch points. It is the policy of Prosper to give the fullest freedom to the speakers to express their opinions. The opinions expressed by the speakers do not necessarily represent the views of Prosper and Prosper affiliated personnel. Prosper will make every effort to ensure the validity and accuracy of the information provided by external speakers.
2. Case and Academic Integrity
Prosper highly values academic integrity. Attendees are subject to disqualification from the competition if they are caught sharing the case before their designated times or committing any act of academic dishonesty, including but not limited to: receiving help from external individuals or sources, providing help to other teams, editing presentation after the designated cutoff time, and copying existing solutions from external sources. Teams who violate this rule will be disqualified and prohibited from attending any future Prosper Foundation events for three (3) years. This policy will be strictly enforced at the PIIC, and teams can only use the information provided in the case study for their presentations.
3. Conference Premise Access and Attendance Policy
To protect the safety of all attendees and integrity of the conference, only authorized participants are allowed on conference premises at any given time. Authorized participants include student attendees, volunteers (general and media team), judges, speakers, sponsor teachers, sponsor representatives, and other authorized guests who have been pre-approved by either Prosper Foundation or the Ivey Business School.
All authorized participants must wear their name tags at all times on conference premises. If the participant misplaced or damaged their name tag, they will be required to report to the Conference Help Desk immediately for identification verification and obtain a new name tag.
All unauthorized individuals will be asked to leave conference premises immediately. Prosper reserves the right to escalate the situation should the unauthorized party refuse to comply.

Attendees will have to receive special endorsements to validate their attendance at several segments of the conference including but not limited to: the opening ceremony, workshops, case release, and other activities at the discretion of Prosper. Teams will only qualify for finalists if all members have received the necessary attendance endorsements.
4. Rooming and Curfew
To comply with all applicable regulations, all overnight attendees ("Attendees") and other participants ("Participants"), including but not limited to additional staff, media team members, and volunteers, will be placed in single-sex guest rooms. Attendees and Participants are only allowed to access their assigned guest rooms at all times throughout the conference. Designated work rooms will be set up during preparation periods for your team to meet up and work on the case study.
Most rooms will be available after 3 PM, but there may be delays beyond Prosper's control. On Day 2, you must bring all your luggages and check-out of your guest room before 12 PM. When checking out, please return the room key to the Conference Help Desk and leave your luggages in the designated luggage storage room.
All overnight attendees must be in their assigned rooms at the curfew time and remain in their rooms until the start of the first scheduled event in the morning. Curfew time will be announced at the conference and may be subject to change. All overnight Participants must also follow the curfew procedures, but they may be exempted from the curfew to assist with operational tasks at the discretion of Prosper.

Room checks will be conducted shortly after the curfew to ensure compliance. The Prosper Foundation Board of Directors and other Prosper personnel will conduct room checks for all teams.

Attendees who are found outside of their rooms during the curfew without permission from the Prosper team or their sponsor teacher, as well as Participants who are found outside of their rooms during the curfew without a valid curfew exemption, will have their conference access deactivated and prohibited from attending the event further. An incident report will be filed and school officials will be notified.

In the unlikely event that Prosper's venue partner cannot provide sufficient rooms for all Prosper attendees and Participants, Prosper will randomly select individuals (with higher priority given to attendees remaining at the primary hotel venue) and accommodate them in a nearby hotel based on availability.​
5. Registration Terms and Conditions
As an invitation-only event, all attendees must confirm their participation in the Prosper Ivey Invitational Competition within four (4) weeks of receiving the PIIC invitation email. All attendees with automatic qualification status will still need to submit the PIIC Application and have it approved by Prosper Foundation and the Ivey Business School.

All external applicants will hear back from the Prosper team within 3 weeks of submitting their application. As a reminder, all applications will be processed on a rolling basis, and the event may reach its capacity before the registration deadline.

Once the application has been approved and confirmed, it is a binding obligation for the attendee to attend the PIIC in its entirety. Prosper will collect all registration payments for the PIIC around 4-6 weeks prior to the conference. If the registration fee hinders your ability to attend the PIIC, you may submit a Prosper All Access application.​
6. Cancellations and Refunds
If Prosper has to cancel the event, our liability in the event of cancellation is limited to a full refund, minus any applicable administrative fees, of the event fee only. We will not refund the following:

any travel or external hotel costs associated with the cancellation of an event

any fees relating to the joining of a faculty or community with respect to the event booking

All cancellations and subsequent transfers must be made in writing and sent to piic@prosperfoundation.ca. Prosper does not issue any refunds for cancellation on attendee's part.

Prosper Foundation (Vancouver) and our venue provider accept no liability if an event is canceled or postponed for reasons beyond our reasonable control resulting from an act of God, government regulation, fire, war, natural disaster, global health crisis, terrorist activity, or civil commotion.
